Competitive challenges and exceptions in technology transfer contracts with an approach to EU competition rules

Abstract
,one of the main challenges in technology transfer agreements is the competitive restrictions that can have negative effects on competition, innovation and access to technology in different markets. These restrictions, especially in contracts that include exclusive conditions and market division, can lead to reduced competition, increased prices, and limited access to new technologies. This article examines the effects of competitive restrictions in technology transfer contracts and their consequences on competition in different markets. Competitive restrictions can include price collusion, market segmentation, and creating entry barriers for competitors, all of which reduce competition and increase prices for consumers. This is not only detrimental to consumers, but can also reduce innovation and disrupt competition in domestic and global markets. Also, this article examines some exceptions and exemptions that can be considered for technology transfer agreements under certain conditions. Finally, the current research emphasizes the importance of meeting competitive requirements in technology transfer contracts. Accurate and effective monitoring of these contracts and the use of group exemption provisions can prevent the occurrence of unnecessary competitive barriers and at the same time support the interests of the parties to the contract. This article generally emphasizes the necessity of balancing the commercial interests of the parties and maintaining competition in the market so that technology transfer becomes a tool to promote innovation, reduce costs and increase competition in global markets.
